Coming to Terms: Financing Strategies To Support Organizational Growth

The CFO Roundtable has assembled an outstanding panel of experts and practitioners to provide an overview of “Coming to Terms” on financing arrangements. This session will focus on sources of capital available in the marketplace to help a company grow and expand its operations, manage working capital and secure lease financing transactions.
Financing types to be reviewed include venture debt, mezzanine financing, equipment financing, revolving credit and asset based financing arrangements. These sources of capital should not be considered a replacement for an initial equity financing, but as a supplement to it.
Learning Objectives:
After attending the course, attendees should be able to:
- Understand the various financing sources that are available and be able to ascertain which are applicable to their company at its specific stage in life and which are not.
- Evaluate the costs to the company, both in cash (and/or equity dilution) that will occur.
- Understand the various terms, conditions used in these different alternatives.
- Understand the key strategic elements that are negotiated in the term sheet acceptance process including financial covenants, pricing and fees, reporting requirements and documentation.
- Evaluate actual term sheets and documents used in the various types of transactions and discover the negotiability and non negotiability of certain aspects in various different type of financings

- Amy LeBlanc Hackett, SVP, TD Bank
Ms. Hackett joined TD Bank in October 2008 and is responsible for new business development and relationship management for Middle Market Banking. She has 18 years of experience in corporate banking in the New England marketplace and has industry expertise in Technology, Energy, Large Corporate and Middle Market. Before joining TD, Ms. Hackett was part of the New England Corporate and Investment Banking team for Citibank, working with public and private companies in their efforts to expand internationally, raise debt and equity in the private and public markets, and manage treasury operations. Prior to Citibank, Ms. Hackett was part of the Technology Banking practice at RBS Citizens where she worked with technology and life science companies at various stages of development, from emerging growth companies to large-cap public companies. Before RBS Citizens, she worked for both Fleet Financial Group and BankBoston in Large Corporate, Middle Market Banking and Energy lending groups. She earned a BA in Business and Economics from Saint Anselm College and an MBA from Bentley University’s McCallum School of Business. In addition Ms. Hackett holds Series 7 and 63 licenses.
- Roy Liu, SVP, Hercules Technology Growth Capital
Roy Y. Liu is a managing director in the Technology Group. Liu has more than 20 years of operating and finance experience with technology companies, and has provided financing across a broad range of stages from early to later stage and leverage buyout to industries, including semiconductor, data communications and networking, and enterprise software. Liu has also represented Hercules on the board of InfoLogix (acquired by StanleyWorks).Before joining Hercules in 2004, Liu was a Vice President at GrandBanks Capital from 2002 to 2004, an early-stage, information technology-focused venture capital firm, where he led the investment in Colubris Networks (acquired by Hewlett Packard). In addition, Liu was a founding principal of VantagePoint Structured Investments, a debt fund affiliated with VantagePoint Venture Partners. In 1997, Liu co-founded Imperial Bank’s Emerging Growth Industries Boston office, where he focused specifically on debt financing for venture-backed companies and previously was head of the High-Lending-Group for State Street Bank & Trust Co. Liu’s first finance position was in the Acquisition Finance Division of the Bank of Boston.
Liu’s operational experience includes roles as the Vice President of Finance and CFO to technology companies including toysmart.com, Inc. and Microwave ByPass Systems, Inc. He began his career at IBM in research and development. Liu holds a B.S. in electrical engineering and an M.B.A. from the University of Michigan. Liu is currently a Mentor in Northeastern University’s IDEA start-up incubator. - Joan McArdle, SVP, Mass Capital Resources
Joan joined Mass. Capital in 1985 and was promoted to Senior Vice President in 2001. Prior to joining Mass. Capital, Joan was employed by the First National Bank of Boston in a variety of capacities, leaving the firm as a Vice President in the Large Corporate/Multinational Group. Joan is a member of the Board of Directors of Aspen Technology, Inc. and serves on the Boards of Directors of a number of private companies. Joan received an AB degree in English from Smith College.
- David Mullen, Regional Manager, Equipment Finance, TD Bank Equipment Finance
David K. Mullen is the Regional Manager for TD Equipment Finance, Inc., a subsidiary of TD Bank N.A. Based in Foxborough, Mass., he partners with TD Bank commercial lenders to meet the equipment financing needs of bank clients. In addition he originates direct equipment financing transactions where there are opportunities for complementary TD Bank products and solutions.Mullen has over 20 years of experience in equipment finance and leasing. Prior to joining TD Bank, he held similar positions at CitiCapital, ABN AMRO, Textron Financial and AT&T Capital. Mullen is a member of the Commercial Finance Association.
A Seekonk, Mass., resident, Mullen serves on the board of Doorway’s Food Pantry. Mullen holds an MBA from DePaulUniversity (’88) and an undergraduate degree in Finance from the University of Massachusetts at Amherst, Isenberg School of Management (’85).
- Scott Sanborn, SVP, Commercial Lending, TD Bank
Scott is of Regional Vice President for TD Bank’s Greater Boston Market. He is responsible for building the Regional Bank focusing on commercial and retail growth throughout the region. He is also a member of the regional management team coordinating TD’s activities with the partners in TD Insurance and TD Wealth.Over the past two decades, Scott has led various teams throughout New England in Commercial Banking including both Small Business and Middle Market lending platforms. His career has involved roles at Bank of New England, Fleet Bank and for the past decade at Sovereign Bank where he led Business Banking teams in New Hampshire, Eastern Massachusetts and Rhode Island. From 2006 until 2010, Scott built a Professional’s practice for the Massachusetts Middle Market Group. Most recently, Scott served as a member of TD Bank in the Wealth Management Division, spearheading the Professionals Group initiative in the Private Bank.
In addition to his “day” job, Scott has found that community involvement and civic duty are integral parts of both his professional and personal development and satisfaction. Over the years, Scott has served as Chairman of the Brockton Visiting Nurses Association, Chairman of the Metro South Chamber of Commerce and currently serves as President of the Boston Minuteman Council for the Boy Scouts of America.
He is a committee member of United Way of Mass Bay Campaign Cabinet and serves as a member of the New England Certified Development Company. Scott is a graduate of the Emerging Leaders class of 2002 from the University of Massachusetts and 2003 alum of the Future Leaders program sponsored by the Greater Boston Chamber of Commerce.
Scott graduated from Wesleyan University with a BA in International Politics and later attained his MBA from the Babson College Graduate School of Business with a concentration in Entrepreneurship and Finance.
